interCLICK Completes $2.5 Million Private Placement Offering

New York Private Placement—interCLICK, Inc., a leading behavioral targeting company, announced that it has closed its private placement offering and raised gross proceeds of $2.5 million. Under the private placement (terms in the private placement memorandum PPM), the Company sold 2,500,000 shares of its common stock and five-year warrants to purchase 625,000 shares of common stock at an exercise price of $1.40 per share to existing shareholders. interCLICK expects to use the proceeds from the sale for working capital and general corporate purposes.

Recently, the Company increased its 2009 revenue forecast for the second time this year. The Company now expects revenue to be over $40 million, which would represent an increase of at least 80% compared to 2008 revenue of $22.4 million. Previously, the Company expected 2009 full-year revenue to exceed $36 million, which would represent 60% year-over-year revenue growth. interCLICK increased its forecast due to strong demand from advertisers shifting budget towards ROI centric solutions. Gross margin is expected to be at or above the first quarter 2009 level of 47%.
